Commercial Terms — Janus Edge

Janus Edge ("the Software") is made available under the Elastic License 2.0 ("ELv2"). These Commercial Terms describe when use of the Software requires a paid license key and what each key permits. They supplement, and do not replace, the ELv2.
1. Editions and keys
The Software reads a signed license key that sets its edition, seat allowance, node allowance and feature set. Keys are issued by Torvanis through janusedge.com or by written agreement.
- Community key — issued at no charge to individuals for personal use, and to organizations with fewer than 100 employees and contractors and less than USD 10,000,000 in annual revenue or funding ("Community Eligibility"). Permits up to 25 active users on one gateway node with the Community feature set. Not for resale, hosting for third parties, or use by organizations that do not meet Community Eligibility.
- Business key — sold at USD 10 per seat/month or USD 108 per seat/year (10% annual saving), 25-seat minimum. Permits the purchased number of active users in total across any number of gateway instances, up to three nodes per instance, with the Business feature set.
- Enterprise key — sold by written agreement. Terms, limits and features are set in that agreement, which controls if it conflicts with this document.
- Trial key — a time-limited Business key for evaluation only.
An active user is a person who signed in to a gateway instance within the preceding 30 days. Service and team tokens are not users.
2. Use without a key
Running the Software without any key is permitted for evaluation and for use within Community Eligibility, with the limits the Software applies in that state. Organizations outside Community Eligibility must obtain a Business or Enterprise key before production use.
3. What a key does not do
A key does not grant rights the ELv2 withholds. In particular, you may not provide the Software to third parties as a hosted or managed service, and you may not remove, disable, circumvent or alter the license-key functionality or any feature it protects (ELv2 §"Limitations").
4. Expiry and renewal
New Stripe subscription keys expire at verified paid-through and carry seven days of grace. Existing manual and Community keys retain their signed grace period. After the applicable grace period the Software enters a restricted state in which existing configuration continues to operate but new items (models, upstreams, keys, quotas, rules, teams, schedules, captures) cannot be created until a current key is installed. The Software never stops proxying requests because of key expiry.
Automatic gateway license sync is recommended for monthly and annual subscriptions but is off by default and requires explicit administrator opt-in. Without sync, customers must download and install renewed keys after each paid renewal. Payment does not automatically update offline or file-mounted keys. Cancellation at period end retains already paid coverage; mid-cycle quantity and cadence changes are not supported in the billing portal.
Perpetual keys, where sold, permit use of any release published on or before their maintenance date indefinitely.
5. Seats and audit
You may allocate purchased seats across gateway instances through the customer portal. Each instance enforces only the seats assigned to it. Torvanis may request, no more than once per year, a written statement of active-user counts per instance; you agree to true-up within 30 days if usage exceeds the purchased pool.
6. Fees, taxes, refunds
Fees are in US dollars, payable monthly or annually in advance according to the selected cadence. Sales tax and VAT are charged where applicable. Subscriptions renew automatically unless canceled in the portal before the renewal date. Fees are non-refundable except where required by law; unused seats are not credited.
7. Support
Business keys include email support with a target first response of two business days. Community keys include documentation and the public issue tracker. Enterprise support terms are set in the agreement.
8. Warranty, liability
The Software is provided under the ELv2 "as is" terms. To the maximum extent permitted by law, Torvanis's total liability under these terms is limited to the fees you paid in the twelve months before the claim.
9. Changes
Torvanis may update these terms for future purchases and renewals. The version in force when you purchased or renewed applies to that term. Community Eligibility thresholds will not be reduced for existing Community key holders during the life of their key.
