End User License Agreement — Janus Edge

This EULA applies to Business, Enterprise and Trial keys purchased or issued through janusedge.com. It incorporates the Elastic License 2.0 and the Commercial Terms.

  1. Grant. Subject to payment and these terms, Torvanis grants you a non-exclusive, non-transferable right to use the Software with the edition, seats, nodes and features stated in your key, on systems you control, for your internal business purposes.
  2. Restrictions. You may not sublicense, resell, rent, or provide the Software as a service to third parties; circumvent license enforcement; or use the Software to build a competing product using Torvanis's confidential information.
  3. Term. Subscription keys run for the paid term and renew unless canceled. Perpetual keys are perpetual for releases within their maintenance date. Torvanis may terminate for material breach uncured 30 days after notice.
  4. Data. The Software runs on your infrastructure; Torvanis does not receive your prompts, responses or user data. Optional update checks send version, edition and instance ID. Optional license sync sends instance ID, version, seat counts and site label. See Privacy.
  5. Support and updates. As described in the Commercial Terms for your edition. Updates are provided under this EULA.
  6. Warranty. Torvanis warrants for 90 days that the Software will materially perform as documented. Your exclusive remedy is repair, replacement or refund of fees for the affected period. Otherwise the Software is provided as is.
  7. Liability. Neither party is liable for indirect or consequential damages. Torvanis's aggregate liability is limited to fees paid in the preceding twelve months.
  8. Export and government use. You will comply with applicable export laws. For US government end users the Software is commercial computer software under FAR 12.212 and DFARS 227.7202.
  9. Governing law. Ohio, USA; venue in Franklin County courts. UN CISG excluded.
  10. Entire agreement. This EULA, the Commercial Terms, the ELv2 and any signed order form or MSA are the entire agreement; a signed MSA controls over this EULA.
